Client-Owned IP: All data, content, trademarks, and pre-existing intellectual property you provide to us remain your exclusive property. Nothing in these Terms transfers any ownership rights in your pre-existing IP to AI Brahmas LLC.
Deliverables: Upon receipt of full payment for a project, AI Brahmas LLC assigns to Client all right, title, and interest in the custom deliverables created specifically for that engagement, excluding the items described below.
AI Brahmas Retained IP: AI Brahmas LLC retains ownership of:
AI Brahmas LLC grants Client a perpetual, royalty-free, non-exclusive license to use any retained IP incorporated into deliverables solely for Client's internal business purposes.
Third-Party Components: Some deliverables may incorporate open-source software or third-party components subject to their own licenses, which we will disclose to you.
Each party ("Receiving Party") agrees to hold in strict confidence all Confidential Information received from the other party ("Disclosing Party") and not to disclose such information to any third party without prior written consent, using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care).
"Confidential Information" means any non-public business, technical, financial, or other information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
Confidentiality obligations do not apply to information that: (a) was already publicly known; (b) becomes publicly known through no fault of the Receiving Party; (c) was independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order.

Client agrees not to deploy AI solutions we develop for purposes that violate applicable law, enable mass surveillance without legal authority, facilitate unlawful discrimination, or generate harmful content targeting individuals or protected groups.
AI Brahmas LLC warrants that: (a) it has the authority to enter into agreements under these Terms; (b) services will be performed with reasonable professional skill and care consistent with industry standards; and (c) deliverables will materially conform to the specifications agreed in the applicable SOW for 30 days from delivery ("Warranty Period").

WE DO NOT WARRANT THAT AI SYSTEMS WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT OUTPUTS WILL BE ACCURATE IN ALL CASES. AI MODELS ARE PROBABILISTIC AND MAY PRODUCE UNEXPECTED RESULTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise). Some jurisdictions do not allow limitations of liability for certain types of damages; in such cases, our liability is limited to the maximum extent permitted by law.

Termination for Cause: Either party may terminate immediately upon written notice if the other party: (a) materially breaches these Terms and fails to cure within 15 days of written notice; (b) becomes insolvent or files for bankruptcy; or (c) engages in fraudulent or illegal conduct.
Effect of Termination: Upon termination, each party shall promptly return or certifiably destroy the other party's Confidential Information. Provisions that by their nature should survive (including IP rights, confidentiality, payment obligations, limitation of liability, and indemnification) shall survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Informal Resolution: Before initiating formal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days following written notice of the dispute.
Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitral award shall be final and binding. Each party bears its own costs unless the arbitrator awards otherwise.
Exceptions: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including to protect intellectual property or confidential information, without waiving the right to arbitration.
